Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the website located at securelog.app and any related services (collectively, the "Service"), which are operated by Proteus Technologies Limited ("Proteus", "we", "us", or "our"), a company incorporated in the Republic of Trinidad and Tobago with its registered office at #3 Freeling Street, Tunapuna, Trinidad and Tobago. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.
2. The Service
The Service provides a digital digital diary system and related tools for security operations. Information and tools provided through the Service are made available for operational and informational purposes. We do not provide financial, investment, tax, legal, or professional advice.
3. Permitted Use and Restrictions
Subject to your compliance with these Terms, Proteus grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your authorised business use.
You agree that you will not, and will not attempt to:
- use the Service for any unlawful, fraudulent, or unauthorised purpose, or in a way that violates any applicable law or regulation of Trinidad and Tobago or any other jurisdiction;
- copy, reproduce, scrape, harvest, frame, mirror, or otherwise use automated means to access the Service or extract data from it, except as expressly permitted in writing by us;
- interfere with, disrupt, or impose an unreasonable load on the Service or the networks or servers connected to it;
- reverse engineer, decompile, or attempt to derive source code from any part of the Service, except to the extent that such restriction is prohibited by law;
- introduce any virus, worm, malware, or other harmful code, or attempt to gain unauthorised access to any account, system, or data;
- use the Service to send unsolicited communications, to impersonate any person or entity, or to misrepresent your affiliation with any person or entity;
- use the Service to build, train, or improve any competing product or machine learning model.
4. Intellectual Property
The Service, including its software, design, text, graphics, logos, and other content (excluding User Submissions as defined below), is owned by Proteus Technologies Limited or its licensors and is protected by copyright, trade mark, and other intellectual property laws. No rights are granted to you other than the limited licence expressly set out in these Terms.
"Proteus", "SecureLog", the Proteus logo, and any associated marks are trade marks of Proteus Technologies Limited. You may not use them without our prior written consent.
5. User Submissions
If you submit, post, or transmit any content through the Service, including feedback, suggestions, messages, or other materials ("User Submissions"), you grant Proteus Technologies Limited a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable licence to use, reproduce, modify, adapt, publish, and display such User Submissions in connection with operating and improving the Service.
You represent and warrant that you own or have the necessary rights to grant this licence, and that your User Submissions do not infringe the rights of any third party or violate any law.
6. Third-Party Links and Services
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Proteus. We do not endorse and are not responsible for the content, policies, or practices of any third-party services. Your use of any third-party service is at your own risk and subject to that third party's terms.
7. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, Proteus Technologies Limited disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service will be uninterrupted, secure, accurate, or error-free.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Proteus Technologies Limited, its directors, officers, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our aggregate liability to you for any and all claims arising out of or in connection with the Service or these Terms shall not exceed the greater of (a) the total amount paid by you to Proteus in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Trinidad and Tobago dollars (TT$100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Proteus Technologies Limited and its directors, officers, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your User Submissions, or your breach of these Terms.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, the rights and licences granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including Intellectual Property, User Submissions, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) shall survive.
11. Changes to the Service and the Terms
We may modify or discontinue the Service, or any part of it, at any time without notice. We may also revise these Terms from time to time. When we do, we will update the "Effective date" above. Material changes will be communicated through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to its conflict-of-laws principles.
You and Proteus agree to submit to the exclusive jurisdiction of the courts of Trinidad and Tobago to resolve any dispute arising out of or in connection with these Terms or the Service.
13. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Proteus concerning the Service and supersede all prior or contemporaneous understandings. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign them without restriction.
